Job Position : Manager - Legal & Compliance
Job Description :
Responsible for directing, implementing and overseeing the Corporate Compliance program at the Business Unit to prevent illegal, unethical, or improper conduct by the development, implementation, training and monitoring of Compliance policies, procedures and programs to comply with Central and State laws, the United States Foreign Corrupt Practices Act, the India Anti-Corruption Laws, other applicable Anti-bribery/Anti-corruption Conventions, India Medical Ethics regulations, and all other regulations, policy directives and ethical requirements while supporting the growth of the business unit .
Responsibilities
•To Assist and ensure that all the pending litigation is handled in an efficient and organized manner.
•Wind up existing litigation and lessen costs of litigation review all the litigation, do a regular follow up with external counsel, appear on behalf of the company before the consumer forum in insurance related matters and in cases where the Company is named as a Proforma party, assist the hospital employees during court appearances for evidence in medico Legal cases.
•Ensure that hospitals provide all the documents/feedback relating to the legal matters including the doctor’s comments in a timely manner and that External counsel get all the documents pertaining to the legal matter in time.
•Keep track of all open items and agreed timelines; ensure that the litigation tracker is updated regularly and circulate weekly list of upcoming litigation.
•Ensure that all requests in litigation matters are fulfilled in a timely manner.
•Ensure timely clearance of counsel bills after due verification; maintain records of the same and give periodic updates to the Management.
•To improve the turnaround time to ensure that all the contracts of the through inter departments are delivered in a timely manner.
•Drafting/finalization of agreements/transaction documents for Clinical trials, marketing tie ups and promotional ventures, HCF, Commercial and infrastructure related agreements.
•To identify the various updation in the laws applicable to the healthcare/ diagnostics business, legal research on Web, Journals, and books.
•Conducts risk-analysis through the compliance monitoring programs and other independent audits to identify potential areas of compliance vulnerability and risk; develops/implements corrective action plans for the resolution of problematic issues, and provides guidance and advocacy in all compliance related areas at all levels of the business unit.
•Responds to alleged violations of laws, rules, regulations, policies, procedures and Integrity Commitment and Code of Business Ethics by initiating and conducting investigative procedures to ensure implementation of consistent disciplinary action which strengthens the integrity of the Compliance Program.
•Coordinates and oversees a system for uniform handling of such violations and develops training as appropriate.
•Collaborates with all functional areas to direct compliance issues through appropriate existing channels for guidance, resolution and/or implementation.
•Develop and implement training initiatives for Business Unit employees in alignment with Corporate initiatives.
•Implement compliance policies/procedures and communicate changes to facilitate the application to functional areas of the business.
•Ensure operational compliance with billing and internal control policies.
•Institutes and maintains effective communication program for the Business Unit, including promoting reporting obligations, education, training and: (a)use of CHEQline, (b)heightened awareness of the Code of Business Ethics, and (c)understanding of new and existing compliance issues and related policies and procedures, especially the US Foreign Corrupt Practices Act and India anti-Corruption Laws
•Ensuring that Board procedures are both followed, regularly reviewed and provides guidance to the Directors on their responsibilities under various corporate and business laws.
•Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Corporate Laws and regulations and guidelines made thereunder.
•Filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative
•Maintenance of secretarial records, statutory books and registers
•Advising companies on Compliance of legal and procedural aspects, particularly under SEBI Act, SCRA and rules and regulations made under Foreign Exchange Management Act
•Arbitration and Conciliation Services
•Representing on behalf of a company and other persons before Company Law Board, Securities Appellate Tribunal, Registrar of Companies, Tax Authorities and other quasi-judicial bodies and Tribunals
•Issue of shares, Public Issue, Listing and Securities Management
•7- 10 years of experience in handling compliance, Legal , FCPA, Anti-bribery/Anti-corruption Conventions, India Medical Ethics regulations, and all other regulations.
